- Profitability

Marketing performance depends on multiple factors outside our control, including pricing, availability, website experience, and market conditions.
4. Performance-Based Guarantee
Where applicable, FunnelWave may offer a performance-adjusted guarantee.
This means:
- Lead targets are agreed upfront
- If fewer leads are delivered than agreed, the shortfall is deducted from the next invoice
Guarantees apply only to the defined metric and period agreed in writing and do not extend beyond those terms.
5. Client Responsibilities
To deliver services effectively, clients agree to:
- Provide accurate and timely information
- Grant necessary access to ad accounts, analytics, and platforms
- Maintain a functional website, funnel, or booking system
- Comply with applicable advertising and data protection laws
Delays or issues caused by missing access or inaccurate information may affect results and timelines.
6. Payments & Invoicing
- Fees, pricing models, and payment terms are agreed in advance
- Invoices must be paid according to the agreed schedule
- Late payments may result in paused services
All fees are exclusive of taxes unless stated otherwise.
7. No Partnership or Employment
Nothing in these Terms creates:
- A partnership
- A joint venture
- An employment relationship
FunnelWave operates as an independent contractor.
8. Intellectual Property
All materials, content, and methods provided by FunnelWave remain our intellectual property unless agreed otherwise.
You may not copy, distribute, or reuse our materials without written permission.
9. Limitation of Liability
To the maximum extent permitted by law:
- FunnelWave is not liable for indirect, incidental, or consequential damages
- Our liability is limited to the fees paid for the specific service period in question
We are not responsible for losses resulting from:
- Platform changes (Meta, Google, etc.)
- Market conditions
- Client-side decisions or systems
10. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of cooperation, unless disclosure is required by law.
11. Termination
Either party may terminate cooperation according to the terms agreed in writing.
Outstanding invoices remain payable upon termination.
12. Governing Law
These Terms are governed by applicable European Union principles and the laws of the jurisdiction in which FunnelWave operates, unless agreed otherwise in writing.
